The USIG collateral coin is an investment-grade tokenized debt security built on a bankruptcy-remote, overcollateralized trust structure that represents a pool of U.S. Treasury bills with maturities of 90 days or less.  Our collateral coin is intentionally designed to serve as on-chain Treasury collateral for repos, securities lending, derivatives margining, bank liquidity, and other instances in the wholesale financial markets. USIG Transaction Flow

1. Entity Setup and Roles

USIG Digital, Inc., the Sponsor, will be a DE based corporation that owns USIG, LLC, the Borrower & Issuer. USIG, LLC will be a DE based, bankruptcy remote SPV that has engaged the Sponsor as the Administrative Agent.

2. Service Provider Engagement

The Issuer will engage the Trustee for trustee, account bank and payment agent, custodial & verification services, SGAS for security placement services, SG Forge for tokenization and registrar services, the Collateral Manager for RIA and brokerage services, and the Exchange Agent for exchange services. The Trustee maintains control over the transaction accounts.

3. KYC/AML Screening and Approvals

After reviewing marketing material provided by SGAS, prospective purchasers provide required info to SGAS for KYC/AML screening. After reviewing KYC/AML info, SGAS sends approval notice to prospective purchasers, SG Forge and Trustee.

4. Wallet Setup and Allocation Conformation

After the SGAS approves the dematerialized bond token allocation, prospective purchasers either (a) provides private Wallet to SG Forge which has been approved by SGAS or (b) creates Wallet at Digital Custodian which has been approved by SGAS.

5. Subscription and Funding

Prospective purchasers send signed Purchase Agreement to SGAS and sends funds to purchase Tokens by either (a) wiring USD to Collateral Manager Account or (b) sending stablecoins to the Exchange Agent.

6. Stablecoin Conversion and Proceeds to Collateral Account

The Exchange Agent converts stablecoins into USD and wires the funds to Collateral Manager Account with notice to the Trustee. The required O/C funds are sent to the Collateral Manager Account.

7. Reserve Funding and T-Bill Purchase

Trustee notifies the Collateral Manager of amounts needed to fund the reserve account. The Collateral Manager transfers amount needed to fund reserve account and purchases T-bills subject to the Investment Guidelines.

8. Ledger Update and Reporting

SG Forge updates the controlling ledger of the dematerialized bond token (Token), sending reports to counterparties.

9. Minting and Token Delivery

Trustee notifies SGAS to mint USIG and send Tokens to the purchaser’s (Holder) Wallet.

10. Daily Reconciliation and Covenant Reporting

Trustee reconciles assets, liabilities and interest accrued for USIG holders, based on EoD reports from Payment Agent, Collateral Manager and SG Forge. After making any needed adjustments, Trustee verifies daily covenants and sends out reports.

11. Ongoing Monitoring and Holder Rights Enforcement

The Trustee monitors the Issuer’s collateral and Tokens, and enforces Holder rights in accordance with the transaction documents.
